Position Summary:

Pyxis Oncology is seeking an experienced, Director of SEC Reporting and Technical Accounting reporting to our Chief Accounting Officer (CAO). This individual will be responsible for the production and drafting of the quarterly and annual SEC documents, technical accounting research and assessments, implementation of new accounting standards, supporting with M&A activities and integration, equity accounting and equity administration, clinical trial accrual accounting and financial controls.

ESSENTIAL DUTIES AND RESPONSIBILITIES:

  • End-to-end responsibility on preparation and production of the quarterly and annual filings with the SEC, including filings on Form 8-K, 10-K, 10-Q, Proxy etc. This involves not only preparation of financial statements but also business sections, risk factors, MD&A. Includes coordination with clinical, research, quality, regulatory, IP and IR teams on quarterly and annual basis to add / update business section and risk factors.
  • Prepare and file Form 3, Form 4 with SEC for Section 16 Officers and Directors purchases and sales of PYXS securities.
  • Support CAO in preparation of S-3, S-4 for any business combination transaction or S-1 for any capital raises.
  • Led preparation and presentation of Quarterly and Annual financial statements.
  • Getting quarterly and annual SEC documents reviewed from leadership team, ELT, disclosure committee, and audit committee.
  • Prepare quarterly and annual disclosure checklist to ensure completeness of the financial statements.
  • Assist CAO in drafting with appropriate disclosures through industry and peer benchmarking during quarterly and annual filings.
  • Support CAO in deal structuring, valuation, financial due diligence, deal modeling and pro forma financial statement.
  • Draft technical accounting memos mainly related to M&A transactions, share based compensation, revenue recognition, leases, collaboration and joint arrangement transactions.
  • Review and update the XBRL for financial statements to the appropriate US GAAP taxonomy during quarterly and annual filings.
  • Maintain external reporting calendar and support for all disclosures in the Company’s SEC filing.
  • Support in preparing materials for audit committee meetings and disclosure committee meetings.
  • Coordinate communications with external auditors on financial statements to ensure auditor agreement with company decisions on disclosures and reporting issues.
  • Manage internal and external reviews of all filings (such as auditor, internal/external legal counsel, senior management etc.).
  • Research and document new SEC rules and regulations, SEC and accounting pronouncements and internal technical issues and assist in implementation of solutions.
  • Coordinate review and conclusion of key judgments and estimates with management and external auditors.
  • Responsible for end-to-end stock-based compensation accounting, and related disclosures.
  • Assist in clinical trial accrual accounting on monthly and quarterly basis including running % of completion calculations by interacting with clinical operations team and CRO.
  • Lead equity administration in equity management platforms; including communication and collaboration with equity plan account team.
  • Internal point-of-contact for employees regarding equity administration (general Q&A, technical support in platform, etc.).
  • Ad hoc projects and finance department initiatives, as required.
  • Assist in implementation of SOX 404 (b) (walkthroughs, internal controls etc.).
  • Willingness and ability to travel (domestically and internationally) as required.

EDUCATION AND QUALIFICATIONS:

  • BS/BA in Business, Accounting or Finance with an MBA, CPA or equivalent postgraduate qualification required
  • At least 10 years of experience in accounting and finance
  • Biotech or broad pharma experience is required
  • Experience at a “Big 4” public accounting firm preferred
  • Understanding of complex business processes, specifically in accounting and finance
  • Strong conceptual understanding and ability to clearly document complex workflows in a simple, elegant manner
  • Ability to interpret and apply U.S. GAAP and SEC reporting requirements for publicly traded companies
  • Experience with Active Disclosure is preferred
  • Demonstrated ability to perform technical accounting research, write effective position papers, and communicate appropriate accounting treatment
  • Knowledge of SOX and demonstrated ability to implement and maintain financial controls and accounting policies and procedures
  • Strong personality, able to work with, challenge and convince key stakeholders, driving to outcomes, with a determined focus to get things done


The full-time, annual starting base salary for this position is estimated to range between $195,000 to $230,000 (USD). The final compensation package offered to a successful candidate will consider a number of factors including but not limited to prior experience, relevant expertise, education, skills, qualifications and certifications, business needs, and market conditions.
